Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the Brew website and service operated by Byteex Ltd, a company registered in Cyprus (Gladstonos 16, Paphos, 8046), trading as Brew (“Brew,” “we,” “us”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

Brew lets you create post-purchase and checkout upsell offers for your Shopify store, including one-click upsells, cross-sells, bundles, discounts, add-ons, and related promotions, then preview, edit, and publish them to your storefront and checkout. We may add, change, or remove features over time to improve the Service.

3. Accounts

  • You must provide accurate information and keep your account secure.
  • You are responsible for all activity under your account.
  • You must be at least 18 and able to enter into a binding contract.
  • You are responsible for maintaining the credentials you use to connect your Shopify store.

4. Plans, Billing & Cancellation

  • Brew offers a free plan and paid plans billed in advance on a recurring basis through Shopify or our payment processor.
  • Paid plans may include a free trial; fees are charged after any trial ends and continue until you cancel.
  • Cancellation stops future charges. Except where required by law or stated otherwise, payments are non-refundable.
  • We may change pricing with reasonable advance notice; any promotional pricing is honored as described at sign-up.

5. The Offers You Create

Subject to these Terms and your active subscription, you may use the offers you create with Brew on your own Shopify store(s). The offers and underlying platform, including templates and offer logic, are provided through and powered by the Service; your right to use them continues for as long as your subscription is active.

You retain ownership of your own content: your offer content, brand assets, and store data. You grant us the limited rights needed to operate the Service, serve your offers, and provide support.

6. Acceptable Use

You agree not to:

  • Use the Service for anything unlawful, harmful, or fraudulent
  • Create offers that violate Shopify’s terms, infringe rights, or mislead shoppers
  • Attempt to reverse engineer, resell, or abuse the Service or its infrastructure
  • Interfere with the Service’s operation, security, or other users
  • Use the Service to send spam or collect data without proper consent

7. Shopify & Third-Party Services

The Service integrates with Shopify and other third-party services. Your use of those services is governed by their own terms, and we are not responsible for them. You are responsible for complying with Shopify’s policies for any store you connect.

8. Availability

We work hard to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. We may perform maintenance, and we may suspend access where necessary to protect the Service or comply with law.

9. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. You are responsible for reviewing and testing the offers you create before relying on them in production.

10. Limitation of Liability

To the maximum extent permitted by law, Byteex Ltd will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose.

11. Indemnification

You agree to indemnify and hold Byteex Ltd harmless from claims arising out of your use of the Service, the offers you create, your content, or your violation of these Terms or applicable law.

12. Termination

You may cancel at any time. We may suspend or terminate your access if you breach these Terms or use the Service in a way that creates risk or legal exposure. On termination, your right to use the Service and the offers you created ends; some provisions (such as liability, indemnity, and governing law) survive.

13. Governing Law

These Terms are governed by the laws of Cyprus, without regard to conflict-of-laws principles. The courts of Cyprus will have jurisdiction over any dispute, subject to any mandatory consumer protections in your country of residence.

14. Changes to These Terms

We may update these Terms from time to time. We will post the updated version here and revise the “Last updated” date; for material changes we will provide additional notice where required. Continued use after changes take effect means you accept the updated Terms.
